Payment Services Agreement
This Payment Services Agreement governs the initiation of ACH transactions on your behalf through RepInvest's payment network. By agreeing during account setup, you authorize RepInvest to debit and credit your linked bank account.

1. Introduction
This Payment Services Agreement (“PSA”) is entered into between you (“Investor”) and RepInvest, Inc. (“RepInvest,” “we,” “our,” or “us”). This PSA governs the payment services provided to you in connection with your RepInvest investor account, including ACH debits (deposits) and ACH credits (withdrawals) initiated through our payment processing partner, Straddle.
By checking the consent box during account setup, you acknowledge that you have read, understood, and agreed to this PSA in its entirety. Your consent is required before RepInvest can process any payment on your behalf. RepInvest records the date, time, and context of your consent and may provide this record to Straddle or regulatory authorities upon request.
Important: This agreement authorizes RepInvest to initiate electronic fund transfers from and to your bank account. You should read this agreement carefully and retain a copy for your records.
2. Payment Services
RepInvest provides the following payment services in connection with your investment account:
- ACH Deposits (Charges): Electronic debit transfers initiated from your linked bank account to the RepInvest Growth Fund account at Morgan Stanley when you submit a deposit request.
- ACH Withdrawals (Payouts): Electronic credit transfers initiated from the RepInvest Growth Fund account to your linked bank account upon approval of a withdrawal request by our fund administrators.
- Bank Account Verification: Verification of your bank account ownership through Plaid Technologies, Inc. prior to initiating any transactions.
- Identity Verification:KYC and AML screening through Straddle's identity verification services, as required by applicable law.
3. ACH Authorization
By agreeing to this PSA, you authorize RepInvest and its payment processing partner Straddle to:
- Initiate ACH debit entries from your linked bank account in amounts you specify when submitting deposit requests through the RepInvest platform.
- Initiate ACH credit entries to your linked bank account in amounts determined by your approved withdrawal requests and applicable NAV at settlement.
- Initiate ACH debit entries to recover funds in the event of a returned or failed credit transaction, where permitted by applicable rules.
- Retain your payment authorization on file for recurring transactions initiated at your direction through the platform.
This authorization remains in effect until you revoke it by removing your bank account from the platform or closing your RepInvest account. Revoking authorization does not cancel pending transactions already initiated.
3.1 Originator Obligations
As the Originator of ACH transactions on your behalf, RepInvest is responsible for obtaining and maintaining proper payment authorizations. This PSA serves as your authorization record. RepInvest retains the date, time, IP address, and context of your consent and may produce this record to comply with NACHA rules or regulatory requests.
3.2 Transaction Timing
ACH transactions typically settle within 1–3 business days for credits (payouts) and 1–5 business days for debits (charges), depending on your bank and network conditions. RepInvest does not guarantee settlement timelines. Fund units are issued or redeemed at the NAV recorded on the actual settlement date.
4. Identity Verification
Federal law requires RepInvest to verify the identity of all investors prior to processing payment transactions. This requirement is established under Section 326 of the USA PATRIOT Act and FinCEN's Customer Identification Program (CIP) rules.
By agreeing to this PSA, you consent to RepInvest collecting and transmitting your personal information — including your name, date of birth, address, and Social Security Number — to Straddle for identity verification and AML/sanctions screening purposes. This screening includes checks against OFAC, PEP lists, global sanctions databases, and adverse media sources.
Your Social Security Number is transmitted securely to Straddle and is never stored in full on RepInvest's systems. Only the last four digits are retained for identification purposes.
5. Payment Network — Straddle
ACH payment services are facilitated through Straddle, Inc. (“Straddle”), RepInvest's embedded payment processing partner. Straddle provides:
- ACH origination and processing (charges and payouts)
- Identity verification and KYC/AML compliance
- Transaction monitoring and fraud detection via Watchtower
- Ongoing AML screening and sanctions monitoring
Straddle operates as an Embed Integrator. RepInvest, as the platform, carries no payment liability or flow-of-funds exposure under Straddle's compliance framework. Straddle's services are subject to their own Terms of Service and Privacy Policy.
Transactions processed through Straddle are subject to Straddle's review and may be placed on hold, returned, or rejected based on Straddle's risk and compliance policies, including Watchtower fraud monitoring. RepInvest will notify you of any transaction holds or failures via the platform and email.
6. Bank Linking — Plaid
Bank account linking and verification is provided through Plaid Technologies, Inc. (“Plaid”). By linking your bank account through the platform, you also agree to Plaid's End User Privacy Policy.
Plaid generates a secure processor token that is shared with Straddle to create a Paykey — a secure representation of your bank account used for ACH processing. RepInvest does not store your full bank account number or routing number. Your banking credentials are never shared with RepInvest.
7. Returns & Failed Transactions
ACH transactions may be returned by your bank for various reasons, including insufficient funds, account closed, unauthorized transaction, or incorrect account information. In the event of a returned transaction:
- Your deposit will be marked as “returned” and any pending unit issuance will be cancelled
- You will be notified by email and via the platform
- RepInvest reserves the right to restrict your account pending investigation
- You may be responsible for any fees associated with returned transactions
If a withdrawal (payout) is returned by your bank, RepInvest will attempt to contact you to resolve the issue. Returned payout funds will be held until an alternative payment method is established.
8. Liability
RepInvest is not liable for delays or failures in ACH processing caused by banking system outages, NACHA rule changes, acts of God, or other circumstances beyond our reasonable control. RepInvest's liability for payment processing errors is limited to the amount of the transaction in question.
You are responsible for ensuring that your linked bank account has sufficient funds to cover deposit transactions you initiate. Insufficient funds may result in returned transactions, fees, and account restrictions.
9. Termination of Authorization
You may revoke your ACH authorization at any time by:
- Removing your bank account from the RepInvest platform (Settings → Bank Accounts)
- Closing your RepInvest account by contacting support@joinrepinvest.com
- Notifying your bank directly — however, bank-level stops do not cancel your authorization with RepInvest and may result in returned transaction fees
Revocation does not affect transactions already in process. Pending deposits or approved withdrawals already initiated will complete normally.
